SUBJECT: Transition to Sovereign Executive Command & Final Asset Protection

Effective immediately, the current Board of Directors is dissolved as a governing body.

1. Rationale for Extraction

• Failure of Strategic Objective: The board was established three years ago with a primary mandate to secure funding. As of five months ago, this objective was formally abandoned by the board, shifting the entire weight of capital acquisition back to the Founder.

• Solo Mission Profile: The Founder’s mission has transitioned from a collective infantry-style operation to a “Quiet Professional” (Green Beret/MI) solo mission.

• Efficiency of Command: To execute the MISSION IMPOSSIBLE framework and the global deployment of the Permanent Magnetic Energy patents, a lean, centralized command structure is now operational.

2. Legal & Intellectual Property Provisions

• NDA & Confidentiality: All previously executed Non-Disclosure Agreements (NDAs) remain in full force and effect. The dissolution of your directorial roles does not terminate your legal obligation to maintain the absolute confidentiality of all Classified Documents, strategic briefs, and technical specifications.

• IP Ownership: All Intellectual Property (IP) shared with this board remains the sole and exclusive property of the Founder. Any unauthorized use, disclosure, or reproduction of these assets will be met with immediate federal and international legal recourse.

• Asset Accountability: Any physical or digital assets, credentials, or proprietary materials currently in your possession must be surrendered or deleted as per the Chairman’s Directive.

3. New Operational Status

• Dissolution: Your roles as Directors (including Jon, Everett, Paul, and Trent) are formally terminated.

• Advisory Pivot: Previous members may be invited to serve on a non-governing Advisory Council at the Chairman’s sole discretion, purely to maintain the 508(c)(1)(a) Ecclesiastical Shield.

• Sovereign Command: All fiduciary, executive, and technical authority reverts solely to the Founder.

The “THERON INTERNATIONAL FOUNDATION” collective phase is closed. The Founder’s solo MISSION IMPOSSIBLE to secure global funding begins now.
