BYLAWS OF THE THERON INTERNATIONAL FOUNDATION

(A 508(c)(1)(a) Religious Trust)

ARTICLE I: GOVERNING AUTHORITY

Section 1.01: The First Trustee. As the visionary and founder of the FEW Nexus, the First Trustee (Cornelius Basson Theron) holds final tie-breaking authority on all matters involving the Trust’s mission-critical technology, infrastructure deployment, and the selection of Board members.

ARTICLE II: THE BOARD OF TRUSTEES (BOARD SEATS)

Section 2.01: Composition. The Board shall consist of “Strategic Trustees” who have successfully vetted through the Board Seat Request process.
Section 2.02: Roles. Board members are categorized by their alignment with the Theron Workhorses:

  • Energy Trustee: Oversees the scaling of Theron Energy infrastructure.

  • Water Trustee: Oversees the deployment of Theron H2O systems.

  • Horticulture Trustee: Oversees the food sovereignty initiatives.

  • Infrastructure Trustee: Manages the Theron Transform / American City of Refuge development.

Section 2.03: Selection & Term. Trustees are appointed by the First Trustee. Terms are indefinite so long as mission alignment is maintained.

ARTICLE III: MEETINGS & DECISION MAKING

Section 3.01: Strategic Briefings. The Board shall meet for “Strategic Briefings” as needed to discuss the National deployment of infrastructure. Meetings may be held in person in Florida or via secure digital channels.
Section 3.02: Quorum. A simple majority of the Board constitutes a quorum, but no major infrastructure or financial decision can be ratified without the consent of the First Trustee.

ARTICLE IV: STRATEGIC FUNDING CIRCLE

Section 4.01: The Funder Role. Unlike “Investors,” Funders provide Mission Support Offerings. They do not hold equity in the Trust but may be granted “Founding Circle” status and advisory roles on specific project boards (e.g., a specific Energy plant or Water project).
Section 4.02: Confidentiality. As a 508(c)(1)(a), all Funder identities and contribution amounts are strictly confidential to protect the privacy of those supporting the mission of sovereignty.

ARTICLE V: THE “FEW” NEXUS ASSETS

Section 5.01: Consecrated Technology. All patents, engineering specs, and prototypes associated with Theron Energy, H2O, and Horticulture are considered “Mission Assets.” They are to be used exclusively for the humanitarian and stewardship goals of the Foundation.

ARTICLE VI: FINANCIAL STEWARDSHIP

Section 6.01: Banking. The Trust shall maintain its primary accounts with institutions that respect the 508(c)(1)(a) status (e.g., Old Glory Bank).
Section 6.02: Non-Disclosure. The Trust is exempt from filing IRS Form 990. Financial reporting is internal only, conducted for the Board and the First Trustee to ensure proper resource allocation.

ARTICLE VII: AMENDMENTS

Section 7.01: These bylaws may be amended at any time by the First Trustee to better reflect the evolving scale of the American Sovereign infrastructure.
