DECLARATION OF RELIGIOUS TRUST

OF THE THERON INTERNATIONAL FOUNDATION

THIS DECLARATION OF TRUST is made this  04  day of July, 2024, by Cornelius Basson Theron (hereinafter referred to as the “Grantor” and “First Trustee”).

ARTICLE I: NAME AND OFFICE

The name of this 508(c)(1)(a) Faith-Based Trust shall be the Theron International Foundation (hereinafter “The Trust”). The principal office shall be located in 225 Las Palmas Street, Royal Palm Beach, Florida 33411.

ARTICLE II: RELIGIOUS MANDATE & PURPOSE

The Mission (The Genesis Mandate): The Trust is established to fulfill the divine mandate of stewardship over America’s life-sustaining resources. The Trust is dedicated to the establishment of American Cities of Refuge, starting with the Jupiter Command Center, to ensure the survival and prosperity of the American people through:

ARTICLE III: TRUSTEES & GOVERNANCE

  1. First Trustee: Cornelius Basson Theron shall serve as the First Trustee with full executive authority over all Trust assets and the FEW Nexus infrastructure.

  2. The Board of Trustees: The Trust shall be governed by a Board of Trustees. Trustees are selected via the Board Seat Request process based on mission alignment and strategic capability.

  3. Authority: The Trustees shall have the power to manage the global infrastructure, acquire property, and oversee the Theron workhorse companies as mission-critical assets.

ARTICLE IV: ASSETS & SOVEREIGNTY

All intellectual property, engineering specifications, and physical infrastructure of the Theron FEW Nexus are hereby consecrated as Trust Assets held for the fulfillment of the Mission. As a 508(c)(1)(a), the Trust’s financial records and “Offerings” remain private and are not subject to public disclosure under Form 990.

ARTICLE V: NON-INUREMENT

No part of the net earnings of the Trust shall inure to the benefit of any private individual, except that the Trust shall be authorized to pay reasonable compensation for services rendered in furtherance of the Nexus Mandate.

ARTICLE VI: DISSOLUTION

Upon dissolution, assets shall be distributed to another faith-based or humanitarian entity that aligns with the mission of technological sovereignty and stewardship.

IN WITNESS WHEREOF, the Grantor has executed this Declaration of Trust on the date first written above.
